These Terms of Service ("Terms") govern your access to and use of the website usezent.com and the services provided by Zent, operated by Jamie Gold ("we," "us," or "our"). By accessing our website or using our services, you agree to be bound by these Terms.

1. SERVICES

Zent provides AI-powered revenue systems for MedSpas, including but not limited to missed call recovery, lead response automation, appointment reminders, no-show recovery, lead reactivation, and reporting dashboards (collectively, the "Services"). Service offerings and pricing are subject to change with notice.

2. ELIGIBILITY

By using our Services, you represent that you are at least 18 years of age and have the legal authority to enter into these Terms. Our Services are intended for business use by MedSpa owners and operators.

3. ACCOUNT AND ACCESS

To access certain features, you may be required to provide accurate business and contact information. You are responsible for maintaining the confidentiality of any login credentials and for all activity conducted through your account. You agree to notify us immediately of any unauthorized use.

4. PAYMENT AND BILLING

Fees for our Services are outlined in your service agreement or as presented at checkout. All fees are due as specified. We reserve the right to suspend or terminate Services for non-payment. All sales are final unless otherwise stated in a written agreement. Refunds, if applicable, are handled on a case-by-case basis.

5. SMS AND COMMUNICATIONS

By providing your phone number and opting in, you consent to receive SMS communications from Zent related to your account, services, and promotional offers. You may opt out at any time by replying STOP. Continued use of our Services constitutes acceptance of any SMS communications you have opted into.

6. ACCEPTABLE USE

You agree not to:

- Use our Services for any unlawful purpose

- Interfere with or disrupt the integrity or performance of our Services

- Attempt to gain unauthorized access to our systems

- Resell or sublicense our Services without written consent

- Use our Services to send spam or unsolicited communications

7. INTELLECTUAL PROPERTY

All content, branding, software, and materials provided through our Services are the property of Zent and its operators. You may not copy, reproduce, distribute, or create derivative works from our materials without prior written permission.

8. DISCLAIMER OF WARRANTIES

Our Services are provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee that our Services will be uninterrupted, error-free, or that specific results will be achieved. Revenue outcomes depend on many factors outside our control.

9. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Zent, its operators, and affiliates shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our Services, even if advised of the possibility of such damages. Our total liability shall not exceed the amount you paid us in the three months preceding the claim.

10. INDEMNIFICATION

You agree to indemnify and hold harmless Zent and its operators from any claims, damages, losses, or expenses (including attorney's fees) arising out of your use of our Services, violation of these Terms, or infringement of any third-party rights.

11. TERMINATION

We reserve the right to suspend or terminate your access to our Services at any time for violation of these Terms or for any other reason at our discretion. Upon termination, your right to use our Services ceases immediately.

12. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which Zent operates, without regard to conflict of law principles.

13. CHANGES TO THESE TERMS

We may update these Terms from time to time. We will notify you of material changes by updating the effective date above. Your continued use of our Services after changes constitutes your acceptance of the revised Terms.
